1. Pay fee for obtaining clearance of company name
Agency : Notary
The process of company name clearance must be done through a computerized processing system, the reservation and clearance is most commonly done in practice by a notary public. The notary must first pay the fee of IDR 100,000 to obtain clearance for the proposed company name. The payment is made by the notary at an online platform called yap (https://yap.id/).

2. Obtain clearance for the company's name at the Ministry of Law and Human Rights

To obtain the clearance for company name, the notary inserts a code online when reserving the company name as proof of payment. The reserved name will be blocked for 60 days. If the founding shareholders are confident that the same name has not been used by another Indonesian company, this procedure is not necessary.
The company must not use a name which:
a. has been lawfully used by another company or is similar to the name of another company;
b. contravenes public order and/or decency;
c. is identical or similar to the name of a state agency, government agency, or international agency, except with their approval;
d. does not conform to the purposes and objectives and business activities of the company, or only designates the purposes and objectives of the company without having its own name;
e. consists of numbers or a set of figures, a letter or a set of letters that do not form any words; or
f. means a Company, a legal entity, or a civil enterprise (persekutuan perdata).
The Ministry of Law and Human Rights may reject a name application reservation if the requested name is, among others, the same or resembles similarities to name of other companies.
According to Article 4 of MoLHR Reg. No. 1/2016, an electronic application must be submitted for the use of the company's name to the Ministry of Law and Human Rights ("Minister of MOLHR") through Legal Entity Administration System (Sistem Administrasi Badan Hukum, SABH). Such application shall be performed by filing the Company's Name Application Form which at least contains of the following information:
a. payment number of the approval of the use of the company's name; and
b. booked name of the company.
The approval of the company's name by the Minister of MOLHR shall be given electronically, as regulated under MoLHR Reg. No.1/2016, which at least contains of the following information:
a. booking number of the name of the company;
b. name of the company which may be used;
c. date of booking;
d. expiry date; and
e. payment code.

3. Pay the non-tax state revenue (PNBP) fees for legal services

The requirement to pay the non-tax state revenue fee (Penerimaan Negara Bukan Pajak, PNBP) for legal services in relation to the establishment of a company (PT) is established by Schedule 1 of the Government Regulation No. 45 of 2016. The payment is made by the notary at an online platform called yap (https://yap.id/).
The cost breakdown is as follows (as determined by Regulation No. 8 of 2018 of the Ministry of Law and Human Rights of the Republic of Indonesia):

Based on Articles 9, 10, 29 and 30 Indonesian Company Law No. 40 year 2007, the application for approval of Ministry of Law and Human Rights (the "Ministry of Law") on establishment of company can be filed electronically by attaching with the certificate of bank account and a copy of the relevant bank transmittal advice. The process is as follows:
•The application should be filled at the latest 60 days since the date of establishment deed;
• Since the application has already fulfilled, the Ministry of Law directly electronically stated no objection on said application. However, if the application is not fulfilled, the Ministry of Law will directly electronically state his objection on said application;
• in 30 days since the date of no objection by Ministry of Law, the applicant should submit the original application and supporting documents;
• 14 days after fulfillment of above requirements, Ministry of Law will issue the legalization on the establishment of the company;
• Data of company which its establishment has been approved by Ministry of Law i.e. name, domicile, object and purpose, period, Capital Company will be inserted into Company Registry.
• The Ministry of Law will announce the establishment of company in Supplement State Gazette (TBNRI) within 14 days of the Ministry's Approval Letter.
As of March 2014, the Ministry of Law and Human Rights issues the approval of the deed of establishment electronically.

7. Apply for the Certificate of Company Domicile

The business founders must obtain a certificate of company domicile. This certificate is issued by the head of the village (the Lurah) where the company is located or by the building management if office space is leased. There is no official fee for this certificate.

10. Apply for the Workers Social Security Program (BPJS Ketenagakerjaan) and for the Healthcare Insurance Program (BPJS Kesehatan)

The company's employees must be registered with two Social Security Programs (Badan Penyelenggara Jaminan Sosial, BPJS), the Workers Social Security Program (BPJS Ketenagakerjaan) and the Healthcare Insurance Program (BPJS Kesehatan).
The Workers Social Security Program (BPJS Ketenagakerjaan) covers occupational accident security, old age security, pension security, as well as death security. Employers must participate as follows: (i) Big and medium scale business: participate in programs including occupational accident security, old age security, pension security, and death security program; (ii) Small businesses participate in programs including occupational accident security, old age security, and death security program; and (iii) Micro businesses participate in programs including occupational accident security and death security.
Employees must also be registered with the Healthcare Insurance program (BPJS Kesehatan), which requires the submission of the following information: name; nate of birth; name of the health service provider selected by the employee; and other personal information, including: family member(s), who will be covered by the health insurance program and salary information.
A joint application for both Social Security Programs can be submitted online at www.bpjs.go.id, using a form available at website. An electronic certificate is provided in 1 day. The applicant will also receive by post the membership card and certificate of registration.

11. Obtain a taxpayer registration number (NPWP) and a VAT collector number (NPPKP)

It is necessary to register with the tax authorities and obtain a VAT collector number (Nomor Pokok Pengusaha Kena Pajak, NPPKP) and a taxpayer registration number (Nomor Pokok Wajib Pajak, NPWP). Tourism site

North Sumatra is a province that has a number of unique tourism objects, both natural and cultural. Some of these tourism objects have been widely known to foreign countries such as Lake Toba with its beautiful natural panorama and Bukit Lawang with unique Sumatran orangutans, different from the Bornean orangutans.

The city of Medan itself as a gateway to various tourist destinations in Sumatra, has a number of city attractions such as the Maimun Palace with the Grand Mosque and the King's Pool, Tjong A Fie's House with the Kesawan area, and old buildings inherited from the colonial period. Since the first, Medan is known as a trading city where there are a number of plantation company headquarters such as Deli Tobacco which is well known to foreign countries.

Toba Lake
Lake Toba is an enchanting natural wonder that stretches for 100 km with a width of 30 km above the Bukit Barisan mountains. Its location at an altitude of 900 meters above sea level (asl) and surrounded by green forest areas makes the surrounding air cool and refreshing.

Bukit Lawang
Bukit Lawang (door to the hill) is a small village located south of Gunung Leuser National Park (TNGL). This village is the gateway to the legendary Sumatran jungle where there is Mount Leuser (3,404 meters). The TNGL area stretches in the Bukit Barisan mountains, in the north it is part of the Aceh province and in the south part of the North Sumatra province.

In Bukit Lawang there is a Sumatran orangutan rehabilitation center that was established in 1973. Orangutans are the main attraction of Bukit Lawang where you can see this rare graceful primate swinging above the dense tropical forest trees as its natural habitat.

The distance from Medan to Bukit Lawang is about 90 km which can be reached in 2 hours.

Tangkahan is synonymous with beautiful tropical rainforest panoramas and is often referred to as a hidden paradise in the Gunung Leuser National Park (TNGL). Tangkahan which has an area of ​​about 17,000 ha is a conservation area. Elephants are used on patrol to protect GLNP, and visitors can participate in riding elephants through the forest.

In this location, there are various types of flora and fauna, caves and waterfalls, hot springs, white water rafting, camping sites, trekking paths either on foot or by riding a Sumatran elephant. In addition, there are two rivers that divide GLNP, namely the Batang Serangan River and the Buluh River whose water is very clear.

The distance from Medan to Tangkahan is about 124 km, with a travel time of 3 hours.

Deep Bay
Teluk Dalam is a city located at the southern tip of Nias Island. This city is the gateway for world surfers who come at certain seasons to surf. Teluk Dalam has beautiful beaches such as Lagundri Beach and Sorake Beach. These two beaches are excellent surfers in the world because of the waves that have a perfect height equivalent to those in Hawaii.

Several villages around Teluk Dalam are still steeped in unique Nias traditions and architecture, such as Bawomataluo Village, which is about 15 km from Teluk Dalam. This village is located on a hill with a height of 400 meters above sea level. The houses in this village have the architecture of the traditional Nias house known as Omo Nifolasara which is hundreds of years old. The houses in this village are built facing each other, leaving a large yard that is used as a venue for traditional art performances of Teluk Dalam such as Jumping Stone (Hombo Batu) and War Dance.

In Teluk Dalam there are also megalithic relics located in Orahili Village, Gomo District. A number of large stones are in the hills close to the Gomo River. According to the history of the hills and megalithic stones, it is a village dating from the Young Stone Age (Neolithicum) around 1000 to 1500 AD.

Teluk Dalam can be reached by flight from Medan to Gunung Sitoli in 50 minutes.

Sipiso-piso Waterfall
This waterfall is one of the mainstay tourist attractions in North Sumatra Province. And one of the highest waterfalls in Indonesia with a height of 120 meters. Located in Tongging Village, Brand District, Karo Regency, North Sumatra

The location of this waterfall is not far from the largest lake in Indonesia, namely Lake Toba. This waterfall which is located at an altitude of 800 meters is formed from an underground river on the Karo plateau which flows through a cave on the side of the crater of Lake Toba. The water that comes out of the cave which is not so big is very heavy, especially when it falls at a height of 120 meters, making this waterfall so beautiful. The word ""piso"" means knife, because this waterfall when viewed from a distance looks like a knife, small and long.

Legend of Boko Nan Durhaka, Origin of Five Islands in Banana Padang

Apparently, not many know this one story. The legend of the disobedient ""Si Boko"" is the origin of five islands in the Banana River, Bungus Teluk Kabung Subdistrict, Padang City, West Sumatra. How's the story?

This legend is obtained from one of the community leaders in the area. On the sidelines of the Padang Mayor's Ramadan Safari visit in the area some time ago, S. Datuak Rajo Lenggang told the story.

Shahdan, Boko is a young man who wants to live a life of sufficiency. Coming from a mediocre family, Boko finally chose to try to pit his luck in the opposite country.

Butt said goodbye to his mother. With a heavy heart, his mother released her departure to the region of people. In his heart, Boko is determined to achieve the dream he has been craving.

Sail Boko to the region. Without enough supplies. In the region, Boko works hard. Until finally successful and living well.
One day, Boko and his crew sailed towards the Banana River. Boko didn't expect his boat to stop in his hometown. Boko's arrival was known to his mother.

With mixed feelings, Boko's mother ran to the beach. As soon as he saw his son from a distance, his tears fell out. Boko looks handsome in fancy clothes. His heart was excited to see his son had successfully pitted his luck in the land of people.

This made Boko's mother hesitate to come to her son. But with courage and maternal instinct, the mother found her son on board. Boko was then hugged.

Boko was shocked when she was hugged. Boko then pushed his mother. ""Who are you?"" asked Boko in a loud tone.

""I'm your mother, son, have you forgotten?"" she replied, continuing to cry.

Boko brushed off his mother's hand. So his mother was thrown out. ""You are not my mother. My mother is not old and shabby like you!""

The ship then pulled over on an island because Boko ordered the crew to drop off its mother on the island. While on the island, Boko's mother reiterated that she was Boko's biological mother. Again Boko dodged admitting that the old woman was her mother.

""I'm your mother, Boko! I swear on this island that I am your mother!"" said his mother in a rising tone.

Instantly the sea breeze grew stronger. The storm is coming. Sea ripples turned into large waves that tossed the ship belonging to Boko. However, Boko still did not acknowledge his mother.

Instantly nature is angry. Heavy rain accompanied by storms fell from the sky. Boko's boat broke up in the middle of the sea. The contents of the ship spilled in the waters. Boko's mother was carried away by a big wave. Including Boko and his crew. Boko's mother was then stranded on an island not far from where she swore. On the island, Ibunda Boko is angry like a demon. ""I'm Boko's mother!,"" shouted Boko's mother loudly.

3. Deposit minimum capital into a bank
Agency : Bank
In the case of a GmbH, pursuant to § 7 (2) GmbHG, at least 25 % of the initial capital must be paid-in before registration or, if higher, at least half of the minimum capital, i.e. EUR 12,500.

4. File the Articles of Association through the notary public and register the company with the local Commercial Register

Notary must submit to the Commercial Register by electronic form:
• application to the commercial register executed by the managing director(s) with the signatures certified by a notary public
• the notarized articles of association
• the deed of appointment of the directors, if not included in the incorporation deed
• a list of the company’s shareholders
• the assurance by the managing director(s) that the statutory minimum paid-in capital has been paid in to the free disposition of the management; included in application

Pursuant to the applicable registration laws, the Commercial Register must decide on the company’s registration without undue delay. The Commercial Register publishes the registration on a central electronic platform (www.handelsregister.de) and notifies the local Chamber of Industry and Commerce of the new company.

Since 2018, details of beneficial owners such as name, date of birth, place of residence as well as nature and scope of the commercial interest must be disclosed. The transparency register requires the registration of information for a GmbH’s or UG’s beneficial owner (who is defined as any natural person who directly or indirectly holds (i) more than 25 % of the shares, (ii) controls more than 25 % of the voting rights or (iii) exercises control in a comparable manner.

5. Notify the local Office of Business and Standards of the establishment of the company
Agency : Local Trade Department (Gewerbeamt)
Certain businesses (e.g., restaurants and brokers) must apply for a trading permit (Gewerbeerlaubnis). However, the permit does not have to be presented at the time of the registration of the GmbH at the commercial register. If no such permit is required, start-up companies must simply notify the local Trade Office, which issues a trading license (Gewerbeschein). This notification procedure also covers registration formalities with the Central Statistical Office, the relevant Chamber of Industry and Commerce, the local Labor Office, the Social Security and Federal Health Insurance Office.

6. Register with the Professional Association of the relevant trade
Agency : Professional Association (Berufsgenossenschaft)
The professional associations are carriers of occupational accident insurance. Registration must be done within a week of the founding of the business after the notarization of the Articles of Association.

7. Notify the local Labor Office of the establishment of the company
Agency : Local Labor Office
The notification can be online, in writing or over the phone. The Labor Office assigns an eight-digit operating number, which is needed to report to the Social Security Office.

8. Register employees for health and social insurance
Agency : Social Security Office
Each employee chooses a health insurance company and notifies the employer therof. The entrepreneur then registers the employee with health insurance electronically by using a specific data transfer program (sv.net) which is provided by the health insurance companies.The health insurance company then notifies the annuity insurance carrier. It also collects payments for other social security agencies.

9. Register with the local Tax Office and obtain VAT number

Registration must be done within 4 weeks of the opening of the business and not later than a month after the notarization of the Articles of Association. After the Tax Office is notified of the company’s business activity by the Trade Office, the Tax Office sends the company a questionnaire requesting the company’s business data. In addition, the VAT application is part of the general documentation that needs to be submitted to the competent local Tax Office and can be done fully online. The application will be forwarded automatically to the Federal Central Tax Office. The application and issuance of the VAT number is free of charge.

Starting a Business in Algeria
1. Obtain an attestation of the uniqueness of the company name
Agency : Commercial Registry (Centre National du Registre du Commerce, CNRC)
The applicant must fill out a form, listing the four proposed company names, and pay a fee for the name search and the fiscal stamp. The Commercial Registry (Centre National du Registre du Commerce, CNRC) conducts a name search and issues a name certificate on the same day.
Since February 2015, the uniqueness of the company name can be checked online through the portal https://sidjilcom.cnrc.dz/web/cnrc/accueil. Although the search and the reservation can be done online, business founders typically conduct these tasks in-person at the CNRC.

-1% if the company capital is between DA 200,001 - 300,000,
-0.7% if the company capital is between DA 300,001 - 400,000,
-0.6% if the company capital is between DA 400,001 - 500,000,
-0.5% if the company capital is between DA 500,001 - 1,000,000,

5. Publish a notice of company incorporation at the legal journal (Bulletin Officiel des Annonces légales, BOAL)

A notice of company incorporation must be published at the Official Bulletin of Legal Announcements (BOAL). The publication can be requested online through a notary's account at https://sijdilcom.cnrc.dz/. While there is this online option, the majority of entrepreneurs still prefer to go in person.
The cost for the online publication is DA 3,000 per page + DA 55 for publication rights per page. Two pages must be published, in French and Arabic.

6. Apply for company registration at the Commercial Registry
Agency : Commercial Registry (Centre National du Registre du Commerce, CNRC)
Entrepreneurs must register the company before the Commercial Registry. This must be done within two months of the formation of the company and it can be done online, while it is most common to apply in person. According to Law No. 04-08 (April 14, 2004), registration is completed within 1 day. However, in practice it still takes 2 days to obtain the final registration certificate. Registration fees are as follows:

Upon registration, the Tax Authority shall issue a certificate of existence between 2 and 5 days and a tax card (magnetic card) within a minimum period of 30 days (loi n° 05-16 du 31 décembre 2005 portant loi de finances pour 2006 (JO n° 85 du 31 décembre 2005)).
